Terms of Use

1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("you" or "User") and Ascend Yoga ("we," "us," or "our") governing your access to and use of the Ascend Yoga mobile application (the "App"), including all content, features, and services offered through the App.

By downloading, installing, accessing, or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the App.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms within the App and updating the "Last Updated" date above. Your continued use of the App after any modifications constitutes your acceptance of the revised Terms.

2. Eligibility

You must be at least 13 years of age (or the minimum age required in your jurisdiction) to use the App. If you are under 18 years of age (or the age of majority in your jurisdiction), you must have the consent of a parent or legal guardian to use the App.

By using the App, you represent and warrant that you meet the eligibility requirements stated above and that you have the legal capacity to enter into these Terms.

3. Account Registration

To access certain features of the App, you may be required to create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information to keep it accurate and complete
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account or any other breach of security

We reserve the right to suspend or terminate your account at any time if we reasonably believe that you have violated these Terms or if your account has been compromised.

4. Subscriptions and In-App Purchases

4.1 Subscription Plans

Ascend Yoga may offer subscription-based access to premium features, content, and programs. Subscription plans, pricing, and available features are described within the App and may change from time to time.

4.2 Billing and Payment

All subscriptions and in-app purchases are processed through the Apple App Store or Google Play Store (collectively, the "Platform"). By purchasing a subscription, you agree to the pricing and payment terms presented to you at the time of purchase, as well as the applicable Platform's terms of service.

Payment will be charged to your Platform account at confirmation of purchase. Subscriptions automatically renew unless auto-renewal is turned off at least 24 hours before the end of the current billing period.

4.3 Free Trials

We may offer free trial periods for premium subscriptions. If you do not cancel before the free trial ends, your subscription will automatically convert to a paid subscription, and your Platform account will be charged at the applicable rate.

4.4 Cancellation and Refunds

You may cancel your subscription at any time through your Platform account settings. Cancellation takes effect at the end of the current billing period; you will retain access to premium features until that date. We do not provide refunds for partial billing periods.

Refund requests are handled by the applicable Platform (Apple or Google) in accordance with their refund policies. We have no control over refund decisions made by the Platform.

5. License and Access

5.1 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the App on a compatible device that you own or control, solely for your personal, non-commercial use.

5.2 Restrictions

You agree not to:

  • Copy, modify, distribute, sell, lease, or sublicense the App or any part thereof
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices within the App
  • Use the App for any commercial purpose without our prior written consent
  • Use automated systems, bots, scrapers, or similar technologies to access or interact with the App
  • Circumvent, disable, or interfere with any security features or access restrictions of the App
  • Use the App in any manner that could damage, disable, overburden, or impair our servers or networks

6. User Content

6.1 Your Content

The App may allow you to create, upload, or share content such as custom routines, saved preferences, and practice notes ("User Content"). You retain ownership of your User Content. By submitting User Content through the App, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your User Content solely for the purpose of operating and improving the App.

6.2 Content Standards

You are solely responsible for your User Content. You represent and warrant that your User Content:

  • Does not infringe any third-party intellectual property rights, privacy rights, or other legal rights
  • Does not contain unlawful, defamatory, obscene, harmful, or otherwise objectionable material
  • Does not contain viruses, malware, or any other harmful code

We reserve the right to remove any User Content that violates these Terms or that we find objectionable, at our sole discretion and without prior notice.

7. Intellectual Property

The App and all of its content, features, and functionality — including but not limited to text, graphics, images, logos, icons, photographs, video and audio content, yoga sequences, instructional materials, user interface design, software code, and the selection and arrangement thereof — are owned by Ascend Yoga or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

The Ascend Yoga name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Ascend Yoga. You may not use these marks without our prior written permission.

Nothing in these Terms grants you any right, title, or interest in the App or its content beyond the limited license set forth in Section 5.

8. Health and Fitness Disclaimer

IMPORTANT: THE APP PROVIDES GENERAL YOGA AND WELLNESS CONTENT FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. THE CONTENT AVAILABLE THROUGH THE APP IS NOT INTENDED TO BE A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT.

By using the App, you acknowledge and agree that:

  • You should consult your physician or other qualified healthcare provider before beginning any new exercise program, including yoga
  • You assume full responsibility for any risks, injuries, or damages that may result from your use of the App, including the practice of any yoga poses, flows, or programs
  • The App does not provide medical advice, and no content within the App should be construed as such
  • If you experience any pain, discomfort, dizziness, or shortness of breath during any exercise, you should stop immediately and seek medical attention
  • Yoga involves physical activity that carries inherent risks of injury, and you participate at your own risk

Ascend Yoga is not liable for any health problems or injuries that may result from your use of the App or the yoga practices described therein.

9. Prohibited Conduct

When using the App, you agree not to:

  • Violate any applicable local, state, national, or international law or regulation
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
  • Interfere with or disrupt the operation of the App or the servers or networks connected to the App
  • Attempt to gain unauthorized access to any portion of the App, other accounts, computer systems, or networks connected to the App
  • Use the App to transmit spam, chain letters, or other unsolicited communications
  • Harvest, collect, or store personal data of other users without their consent
  • Use the App in any manner that could damage our reputation or goodwill

10. Third-Party Services and Links

The App may contain links to third-party websites, services, or content that are not owned or controlled by Ascend Yoga. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party services.

Your use of third-party services is governed by their respective terms of service and privacy policies. We encourage you to read the terms and privacy policies of any third-party services you access through the App.

We do not endorse or assume any responsibility for any third-party services, content, products, or advertising that may be linked to or from the App.

11. Termination

We may suspend or terminate your access to the App at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, fraudulent or illegal activity, or conduct that we determine to be harmful to other users or to us.

You may terminate your account at any time by deleting your account through the App's settings or by contacting us. Upon termination, your right to use the App will immediately cease.

The following sections survive termination of these Terms: Sections 6 (User Content), 7 (Intellectual Property), 8 (Health Disclaimer), 12 (Disclaimers), 13 (Limitation of Liability), 14 (Indemnification), and 16 (Governing Law).

12. Disclaimers

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, Ascend Yoga DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, we do not warrant that:

  • The App will be available at all times, uninterrupted, secure, or error-free
  • The results obtained from the use of the App will be accurate, reliable, or complete
  • Any defects or errors in the App will be corrected
  • The App is free of viruses or other harmful components

Any content downloaded from or otherwise accessed through the App is accessed at your own risk, and you are solely responsible for any damage to your device or loss of data resulting from such access.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Ascend Yoga, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE APP, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

14. Indemnification

You agree to indemnify, defend, and hold harmless Ascend Yoga, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the App
  • Your violation of these Terms
  • Your violation of any rights of a third party
  • Any User Content you submit through the App
  • Any injury or harm resulting from your practice of yoga or other exercises using the App

15. Dispute Resolution

15.1 Informal Resolution

Before filing any formal legal action, you agree to first attempt to resolve any dispute with us informally by contacting us at the email address provided in the "Contact Us" section. We will attempt to resolve the dispute informally within 30 days of receiving your notice.

15.2 Binding Arbitration

If we cannot resolve a dispute informally, you and Ascend Yoga agree that any dispute, claim, or controversy arising out of or relating to these Terms or the App shall be resolved by binding individual arbitration, rather than in court, except that either party may seek equitable relief in court for infringement or misuse of intellectual property rights.

Arbitration shall be conducted by a single arbitrator under the rules of the American Arbitration Association (AAA) or JAMS, at your election. The arbitration shall be conducted in the English language and the arbitral decision may be enforced in any court of competent jurisdiction.

15.3 Class Action Waiver

YOU AND Ascend Yoga AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS OR REPRESENTATIVE PROCEEDING.

15.4 Opt-Out

You may opt out of the arbitration and class action waiver provisions by sending written notice to us within 30 days of first accepting these Terms. Your notice must include your name, address, email address, and a clear statement that you wish to opt out of arbitration.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of [Your State], United States, without regard to its conflict of law provisions. To the extent that litigation is permitted under these Terms, you consent to the exclusive jurisdiction of the state and federal courts located in [Your County], [Your State].

17. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Ascend Yoga regarding the App.

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

Force Majeure: We shall not be liable for any failure or delay in performing our obligations under these Terms due to causes beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, or failures of third-party services.

Notices: We may provide notices to you through the App, by email to the address associated with your account, or by other reasonable means. You may provide notices to us at the contact information below.

18. Apple-Specific Terms

If you download or use the App from the Apple App Store, the following additional terms apply:

  • These Terms are between you and Ascend Yoga only, and not with Apple Inc. ("Apple"). Ascend Yoga, not Apple, is solely responsible for the App and its content.
  • Apple has no obligation to provide any maintenance or support services for the App.
  • In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App. To the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to the App.
  • Apple is not responsible for addressing any claims by you or any third party relating to the App, including product liability claims, claims that the App fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection or similar legislation.
  • In the event of any third-party claim that the App or your use of the App infringes a third party's intellectual property rights, Ascend Yoga, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of any such claim.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
